1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and IntelliFlow Communications ("Company," "we," "us," or "our"). By accessing or using our AI voice and SMS missed-call recovery platform and related services (collectively, the "Services"), you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity.

2. Description of Services

IntelliFlow Communications provides an AI-powered missed-call recovery platform that responds to missed and after-hours calls via AI voice and/or SMS on behalf of local service businesses. The Services include lead qualification, appointment booking facilitation, and reporting dashboards. The specific features and usage limits available to you depend on your selected plan.

3. Account Registration and Responsibilities

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You must be at least 18 years of age to use our Services

4. Plans, Pricing, and Payment

• Service plans, pricing, and included usage are described on our pricing page and may be updated from time to time
• Fees are billed monthly or annually, depending on your selected billing cycle
• Payment is due at the beginning of each billing period
• Usage exceeding your plan's included allotment will be billed as overage at the published per-unit rates for your plan
• All fees are non-refundable except as expressly stated herein or required by applicable law
• We reserve the right to modify pricing with reasonable advance notice

5. Cancellation and Termination

• Monthly plans may be cancelled at any time and will remain active through the end of the current billing period
• Annual prepay plans commit you for a 12-month term; early cancellation does not entitle you to a prorated refund unless required by applicable law
• We may suspend or terminate your account for violation of these Terms, non-payment, or misuse of the Services
• Upon termination, your access to the Services and associated data may be discontinued

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Send unsolicited or unauthorized communications (spam)
• Transmit harmful, threatening, abusive, or otherwise objectionable content
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to any systems or networks
• Use the Services for any purpose other than their intended business use

7. AI Disclosure and Communications

Our Services utilize artificial intelligence to interact with callers on your behalf. You acknowledge and agree that:

• Callers will be informed that they are interacting with an AI assistant
• SMS messages sent through the platform will include standard opt-out mechanisms
• You are responsible for ensuring that the use of AI-assisted communications complies with applicable laws and regulations in your jurisdiction
• The AI system may not perfectly handle every call scenario; escalation paths are provided for complex or sensitive situations

9. Intellectual Property

All rights, title, and interest in the Services, including software, technology, designs, trademarks, and content created by IntelliFlow Communications, remain the exclusive property of the Company. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription term.

10. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to the collection, use, and sharing of information as described in our Privacy Policy. You retain ownership of your business data. We process call and lead data on your behalf to provide the Services.

11. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or that all missed calls will be recovered. Results vary by business, call volume, and market conditions.

12. Limitation of Liability

To the maximum extent permitted by law, IntelliFlow Communications shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or business opportunities, arising out of or related to your use of the Services, regardless of the theory of liability. Our total liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless IntelliFlow Communications and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website or by other reasonable means. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration or in the courts located in Illinois, as applicable.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
